The team supports the Board of Directors of a public inter-listed TSX/NYSE company, and its three committees (Governance, HR and Audit).

Responsibilities include:

• Subsidiary governance and compliance
  
• Corporate and securities law compliance, worldwide (Can, US, EU, Asia Pacific) including primary responsibility for the Proxy Circular, AIF and US 40-F, as well as 52-109 certifications, insider reporting, etc., material change reporting, Form 6-K filings, etc.
  
• Organizing Board and Committee meetings and related matters (scheduling, remuneration, etc.)
  
• Corporate governance matters
• Some M&A, banking and treasury matters
