We are running into a situation where Board members are asked to attend meetings with the CEO or other members of Management for various reasons.  These meetings (which are not Board or Committee meetings) would typically be covered via the annual stipend.   However, the meetings are happening more frequently and Board members are asking about payment. 

Does anyone have a policy that includes many Ad Hoc meetings and do you think these Board members should receive payment for these types of meetings?
