    A public company asks:

    Could you describe the reporting lines for the Corporate Secretary in your organization? (ex. Reporting directly to the CEO? CCO? Etc.). In providing your response it would be appreciated if you could also include the following information:
    • The type of organization (non-profit, public company etc.)
    • The industry in which your organization operates
    • Whether the Corporate Secretary holds additional responsibilities (ex. VP Legal, VP Human Resources, Chief compliance officer etc.)
    • Approximately how many direct reports are reporting to the Corporate Secretary
    • Whether your organization has a distinct corporate secretariat

    The Corporate Secretary reports to the CEO and is also VP and General Counsel. She has 5 direct reports. There is no distinct corporate secretariat.

    I am the corporate secretary for a non-for-profit corporation (provincial legal services regulator). I am also the Director of Policy for the organization. I have six direct reports. I report to an Executive Director for a division that includes Policy, Communications, Equity and Public Affairs.  The Executive Director reports to the CEO. The office of corporate secretary (or Secretary in our parlance) is formalized in by-laws made under our governing act.  As the Secretary may be assigned duties by the CEO under the by-law, a relationship is maintained with the CEO. My organization does not have a distinct corporate secretariat, although the Policy Secretariat that I oversee includes some functions that may fall within a corporate secretariat.

    Annual revenues approx.. $200 million nationwide

    The Corporate Secretary holds the position of National President & CEO and reports directly to the National Board of Directors; currently, there are 6 direct reports; there is a distinct corporate secretariat – functions performed by the Manager, Executive Office who is one of the direct reports to the Corporate Secretary

    The Associations distinct Corporate Secretary holds this title and that of Director of Member Services, however performs the duties of Controller/Compliance, HR, Office Manager and responsible for 30 Directors.

    • Our company’s Corporate Secretary is also the Vice-President, Legal Corporate Services and we have two Assistant Corporate Secretaries.
    • Our Corporate Secretary has 11 direct reports and our Manager & Assistant Corporate Secretary has 4 direct reports. The Manager & Assistant Corporate Secretary is one of the direct reports to the Corporate Secretary.
    • Our company’s corporate secretarial group falls under the Legal Services umbrella; however, within Legal Services the corporate secretarial function is distinct.

    We are the federal not-for-profit regulatory and licensing authority for practitioners of immigration consultancy.

    The Corporate Secretary is concurrently the Registrar as well as now oversees the complains, discipline and professional standards function.

    For day-to-day operations the incumbent reports to the CEO. The corporate secretary, as well as the registrar, are officers of the corporation who, for other matters reports directly to the Board of Directors separate to the CEO.

    The incumbent (all three major portfolios) has one direct report for secretariat division; four direct-reports for the registration division; and one direct-report for the complaints and professional standards division.
