Declaration of Conflict of Interest

    A new Board member has requested the Board meeting open with a "Declaration of Conflict of Interest".  Is this standard practice at all Board meetings?  Our Board signs a Code of Conduct when they join the Board, and then re-sign it again every 2 years thereafter.  They also sign a Conflict of Interest Disclosure form.   Would this not cover off any conflicts while they are a Board member?  Or is the declaration at the start of a meeting intended to cover something else off?

    Hello, 

    A declaration at the top of each meeting is standard best practice. There could be an item on the agenda that was not not known when the Director signed their annual affirmation.

    Hi,

    In my experience,  polling for declarations of conflicts of interest at the start of meetings is common practice. 

    I think this serves a different role than periodic affirmations since it relates to the specific subject matter of that meeting (e.g., a potential contract with a particular vendor).

    I agree with the other two responses, this is standard best practice and it sets the right tone at the start of the meeting.
