    Hello, 

    I'm wondering if anyone has a Director disclosure questionnaire that they would be willing to share. 

    In addition to the annual signing of the Code of Conduct, we would like to include a one page document that would ask Directors to disclose any other organizations that they are involved with as a Director.

    Hi Tanya. I am happy to send you the form we used to use via email (email me your contact at Lindsay.Holland@bci.ca). This year we moved away from the paper form, and administered the annual disclosure using Diligent questionnaires.

    Hi Tanya! I'd also be happy to share our Attestations form (annual disclosures) with you. Please send me an email at ttamayo@atb.com if you were still looking! We have also gotten rid of paper forms and moved our Attestation Forms over to Diligent Questionnaires.

    Hi,

    just wondering what you all use the “other boards” questionnaire for? Is it for D&O insurance, or some other purpose?

    Hi Raj. I may have misunderstood your question, but I think you are asking what we use the questionnaire with disclosures of other organizations they are involved with. We use it to populate their director profiles for our annual report, which also helps us monitor for potential conflicts of interest. Let me know if that isn't what you were asking.

    Below is an excerpt from our RHRA Board Role, Responsibilities and Duties Policy, Appendix A - Board of Directors Declaration of Adherence and Interests:

    6.      I am aware that Directors must avoid conflicts between their self-interest or competing fiduciary obligations, and their duty to the RHRA Board. I am also aware that RHRA By-law No. 2 states that a person is ineligible for election to the Board if he or she is a director or employee of an international, national or provincial organization or association whose objects include advocacy or government relations on behalf of retirement homes. I will act in the best interests of the RHRA.
