CSCS has been invited to participate in a stakeholder consultation on NI 54-101. Issuers across the country are invited to participate and take part in this important dialogue. We highly encourage our publicly traded company members to participate and be heard at these meetings.

The CSA is seeking input on NI 54-101 in the following areas:

(a) Are there ways we can minimize inefficiencies in the beneficial shareholder communication and voting process (e.g., issuers and intermediaries send only one copy of the information circular/annual report to the same household; issuers post the information circular/annual report on a website and provide notice of its availability to registered and beneficial shareholders); and

(b) Are there any unintended obstacles created by NI 54-101 that hinder beneficial owners from voting. (e.g., stakeholders have identified the operation of the legal proxy mechanism intended to permit beneficial owners to vote in person at meetings as being overly cumbersome and time-consuming.)
