  Jill Aebker

Jill Aebker is the Deputy General Counsel and Secretary of Tim Hortons Inc. In her current role, Ms. Aebker is accountable for the company’s corporate governance and general board and committee functions. She leads the public company securities team, and she and her team provide legal support for external financial reporting, finance, investor relations, human resources, and complex corporate transactions. In addition, Ms. Aebker has accountability for most legal functions for the U.S. business, notably in connection with the implementation of the U.S. strategic plan.
 
  Madeleine Bertrand

Madeleine Bertrand is the Director, Corporate Affairs and ATIP Coordinator of the Royal Canadian Mint, responsible for managing the Corporate Secretariat office and the implementation and administration of the Access to Information and Privacy legislation at the Mint. Prior to joining the Mint in 1991, Ms. Bertrand held a number of administrative positions with agencies based in Ottawa. Madeleine is bilingual and has a Bachelor of Arts degree from the University of Ottawa.
 
  Fay Booker

Fay Booker, of Booker and Associates, has extensive experience in corporate governance and enterprise risk management in the not-for-profit sector and is a thought leader in these two areas. Ms. Booker has assisted boards to develop their capability to provide good governance. She has conducted governance audits, facilitated Board evaluation processes, acted as a governance coach, developed policy frameworks and governing policies. From her extensive work, she has developed Booker’s Twelve Principles for Good Governance. She has an acute appreciation that there is not one governance solution that fits all organizations. Her perspective is to identify practices that enable a board to effectively serve the organization.
 
  John Caldwell

John Caldwell recently retired as President and Chief Executive Officer of SMTC Corporation.  Previously to that he had been President and Chief Executive Officer at CAE Inc. and at Geac Computer Corporation.  Mr. Caldwell has a background in finance and has broad board and executive level experience. Through his career he has also served on a total of thirteen boards of directors and is currently a director of four public and two private companies and sits on four audit committees, two of which he chairs. He also chairs or is a member of governance, compensation and other committees of the boards on which he serves.
 
  Anthony Chapman

Anthony Chapman joined the Governance Directorate of Treasury Board Secretariat as Director of Policy in 2005.  His responsibilities include overseeing the development of advice to TBS senior management on Crown corporation policy issues, and developing guidance to assist Crown corporations in implementing governance initiatives. Prior to joining TBS, Mr Chapman was employed at the Privy Council Office, in the Regulatory Affairs Secretariat and in Plans and Consultation.  He has also worked in the Research Branch of the Library of Parliament and in private sector consulting.

Karen Cooper

Karen Cooper is a partner of Carters Professional Corporation and practices charity and not-for-profit law with an emphasis on tax issues. She is a contributing author to The Management of Charitable and Not-for-Profit Organizations in Canada (LexisNexis Butterworths) and has been recognized as a leading expert in charity and not-for-profit law by Lexpert. She was formerly a Senior Rulings Officer with the Income Tax Rulings Directorate of Canada Revenue Agency, as well as Counsel for the Department of Justice in tax litigation.

Geoffrey Creighton

Geoffrey Creighton is Senior Vice-President, General Counsel and Secretary and Chief Compliance Officer for IGM Financial Inc. He is responsible for overseeing the legal, compliance and corporate secretarial functions of Mackenzie, Investors Group and Investment Planning Counsel. Prior to joining IGM, Mr. Creighton was a senior corporate partner with Torys LLP. His experience includes mergers and acquisitions, complex corporate finance and cross-border securities transactions, and litigation. He has managed legal services for numerous large projects involving publicly listed companies in capital markets. In the area of governance, Geoff has drafted mandates and codes of conduct for boards and board committees, advised special committees and dealt with sensitive disclosure issues.
